These Terms of Service (“Terms”) govern your use of the CradleNote website, iPhone app, and related services (collectively, the “Service”). These Terms form an agreement between you and Vinchy Company, a Delaware company that operates CradleNote. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Who may use CradleNote
CradleNote is for adults who are legally able to enter into a contract. It is designed for parents, guardians, and other authorized caregivers. It is not directed to children, and children may not create or manage accounts.
Your account and care circles
You must provide accurate account information, keep your sign-in credentials secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account unless caused by our failure to use reasonable safeguards.
Care-circle owners decide who may access a circle and which role each caregiver receives. Only invite people who are authorized to view the baby and care information in that circle. Content and care records added to a shared circle may be viewed, changed, or removed by other authorized caregivers according to their role.
Care information and medical disclaimer
CradleNote helps caregivers organize information. It does not provide medical diagnosis, treatment, or emergency services, and it is not a substitute for a qualified health professional. Sleep guidance, summaries, reminders, growth views, and AI-assisted drafts are informational tools and may be incomplete or inaccurate. Review entries before relying on them and consult a qualified professional about health concerns. In an emergency, contact local emergency services immediately.
Your content
You retain ownership of photos, videos, notes, comments, care records, and other content you submit. You give CradleNote a limited, worldwide license to host, process, reproduce, transmit, and display that content solely as needed to operate, secure, support, and improve the Service and to comply with law. This license ends when the content is deleted from active systems, except for limited backups and records we must retain.
You represent that you have the rights and permissions needed to submit your content, including permission to share information about a child and media depicting other people. Do not upload content that infringes another person's rights or violates applicable law.
Acceptable use and community safety
You may not use the Service to:
- harass, threaten, exploit, impersonate, or endanger another person;
- share unlawful, abusive, hateful, sexually exploitative, or other seriously objectionable content;
- access a care circle or another person's information without authorization;
- introduce malicious code, evade security controls, scrape the Service, or interfere with its operation; or
- use the Service in a way that violates applicable law.
Caregivers can report content and block another caregiver from appearing in their Memories experience. We may review reports and remove content, restrict features, suspend accounts, preserve evidence, or contact appropriate authorities when reasonably necessary to protect users or the Service. Blocking content in the app does not itself change care-circle permissions; care-circle owners should remove a caregiver separately when access must end.
AI-assisted features
Optional AI features may send text you enter or dictate, together with limited relevant baby and recent-care context, to the service provider identified in the consent screen. AI output is a draft and may be wrong. You must review and approve a draft before it becomes a care record. You can decline or revoke AI data-sharing consent without losing the Service's non-AI features.
Subscriptions and purchases
If paid features are offered, the price, billing period, renewal terms, and cancellation method will be shown before purchase. Purchases made through Apple are also governed by Apple's payment and subscription terms. Except where required by law or the applicable store's rules, charges are non-refundable after the purchased service is provided.
CradleNote's software and intellectual property
Vinchy Company and its licensors own the Service, including its software, branding, and design, excluding your content. We grant you a personal, limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, reverse engineer, sell, sublicense, or create derivative works from the Service except where applicable law expressly permits it.
The iPhone app is licensed under the Apple Standard End User License Agreement. If that agreement conflicts with these Terms regarding the licensed iPhone app, the Apple agreement controls to the extent of the conflict.
Privacy
Our Privacy Policy explains how we collect, use, share, retain, and protect information. Our Cookie Policy explains browser storage and analytics choices on the website.
Service changes and availability
We may change, suspend, or discontinue features as the Service evolves. We aim to provide a reliable service but do not guarantee uninterrupted availability or that every error can be prevented. We may use maintenance windows and reasonable technical limits to protect users and system reliability.
Suspension and termination
You may stop using CradleNote at any time and can request account deletion from the iPhone app or website. We may restrict or suspend access when reasonably necessary to address a Terms violation, security risk, legal requirement, nonpayment, or harm to another person. When practical, we will provide notice and an opportunity to appeal.
Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties that are not expressly stated in these Terms. CradleNote is not responsible for decisions made from inaccurate, incomplete, or delayed care information or AI output.
To the maximum extent permitted by law, CradleNote will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights you have under mandatory consumer-protection law.
Changes to these Terms
We may update these Terms to reflect changes to the Service or law. We will post the updated date and provide additional notice when required. If a material change requires consent, we will ask before it takes effect.
